Our Invitation to Invest in Songa:  Structure this section to lay out the terms of formal “offering” (i.e., become a Patron Member for $10k per month / 3yr commitment, with 6 month securitized (see Songa Guarantee section below) money back guarantee.  Items to discuss:  envisioned this could be structured as an offer for Patron / Member to receive: 1- some form of equity in the PBC / S-Corp for tax purposes (i.e., a typical equity offer), 2- as a “Member Fee” with TBD Member benefits (i.e., access, set amount of tickets, etc.), and/or 3- as a Patron Donation to our 501(C)(3) private foundation / NFP entity (pending recommendation from Laura / Capes)

Our Legal / Operational Structure:  We also believe in living our values, which includes setting up and operating our organization legally, financially, and co-operatively to serve Our Vision, Our Mission and Our Community.

Our innovative approach to doing so combines the strengths of a for-profit Public Benefit Corporation (PBC) and an independent, mission-aligned 501(c)(3) private foundation / nonprofit organization (to be decided ASAP). This dual-entity structure ensures that we can effectively monetize our creative outputs while staying true to our community-building mission.

The Songa St. Louis Public Benefit Company (PBC):

• The Songa Public Benefit: As enunciated in our Certificate of Incorporation, is: “To create vibrant communities through immersive, interactive experiences in art, music, and theater, fostering personal and communal growth, and promoting happier, more connected lives."
• Primary Activities: Songa PBC manages the production, marketing, and delivery of our experiences. Revenue will be generated through memberships, ticket sales, and franchise licensing.
• Monetization of Art: The PBC will also handle the monetization of artistic creations that emerge from our experiences, such as music, books, and films. Profits will be shared with the artists and reinvested into the community through Songa
• Governance: The PBC has a Board of Directors, Executive Officers and a Board Committee structures committed to balancing profit with our public benefit mission.
• Funding: A limited number of Songa Patrons will be offered the opportunity to participate in an equity ownership stake in the Songa PBC
