Retained Artist and Creator Agreement
This Retained Artist and Creator Agreement (the "Agreement") is made and entered into as of [Date], by and between SONGA STUDIOS Public Benefit Corporation ("the Company"), a Delaware Public Benefit Corporation with its principal place of business at 4220 Duncan Ave, St. Louis, MO 63110, and [Creator's Name], an individual residing at [Creator's Address] ("Creator"), collectively referred to as “the Parties”.
The Company hereby engages the Creator to provide services on a part-time basis, and the Creator hereby accepts such engagement, on the terms and conditions set forth in this Agreement.
The term of this Agreement shall commence on [Start Date] and shall continue until terminated in accordance with Section 7 of this Agreement.
The Creator shall perform the duties and responsibilities set forth in Exhibit A attached hereto and such other duties as may be assigned by the Company from time to time. The Creator shall devote approximately [Number] hours per week to the performance of such duties.
4.1 Base Compensation
The Company shall pay the Creator a base compensation of $[Amount] per month, payable in advance at the beginning of each [month].
4.2 Incentive Compensation
The Creator shall be eligible to receive incentive compensation based on the performance metrics set forth in Exhibit B attached hereto.
4.3 Earned Equity Units
The Creator shall be granted Earned Equity Units (“EEUs”) as part of the compensation package. One EEU will be granted for every $10,000 of Base plus Incentive Compensation received by the Creator. The details of the equity compensation, including amounts, terms and vesting schedule, will be outlined in a separate "Subscription Agreement.”
The Company shall reimburse the Creator for all reasonable and necessary expenses incurred by the Creator in connection with the performance of the Creator's duties under this Agreement, in accordance with the Company's expense reimbursement policies.
The Creator agrees to maintain the confidentiality of all proprietary information of the Company and to comply with the terms of the Confidentiality Agreement attached hereto as Exhibit C.
