Songa Creator Compensation Key Terms and Conditions Master Document

NOTE: This Document is meant to serve as a Master Document related to the Key Terms and Conditions related to all envisioned Compensation Structures for Songa Enterprises (to be inclusive of both Songa LLC and Songa NFP – collectively referred to throughout as “Songa”).  It is NOT a legally binding document between Songa or any individual Creator, Member or other third party.  Individual Creator and Member Compensation Agreements will endeavor to incorporate these Key Terms and Conditions into each respective Agreement with such Creator or Member.

Intention of each Compensation Agreement:

WHEREAS, it is the intention of the Patrons of Songa Enterprises (the “Songa”) to transfer the financial wealth created by Songa to the Creators who created the financial gains;

WHEREAS, it is acknowledged that all Creators are owners in Songa, which owns the Intellectual Property (“the IP”) created by its Creators.

WHEREAS, the decision to enter into a monthly Member Creator Agreement with a Creator for any amount above $1,000 per month is a serious commitment, providing Creators with the security to cover their basic needs and enabling them to do their best work;

WHEREAS, Songa is committed to transparency, and a summary of all decisions regarding compensation, promotion, demotion, or termination of Creators will be published online for Members to review;

WHEREAS, Songa is committed to full financial transparency, making records of all payments available upon request;

NOW, THEREFORE, the below Definitions and Operational Framework is meant to capture the envisioned Creator and Member Compensation Structures for all of the envisioned Compensation Models of Songa.

  1. Definitions:

Creator: Any individual or an organization, engaging as either an independent contractor (“1099 contractor”) or an employee (“W-2 employee”) of Songa and serving in the capacity as a Patron, Member, Artist, or Producers, among other roles to be defined.

Types of Compensation: the forms of compensation offered will be in the form of Cash Compensation (fixed + incentive based comp), Equity (“earned equity units”) and Fringe Benefits (i.e,, healthcare, retirement benefits, loan programs, etc.) to be offered based on the specific type of Compensation Agreement

Equity Compensation

Fringe Benefits:  those benefits described in Section 6 below, offered to either employees as legally required under Federal, State, Municipal or local law, or specifically designed to further the mission of the Organization.
